Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Azaris LLC(“Azaris,” “we,” “us,” or “our”) governing your access to and use of our website and Azaris Sales, our AI inbound sales agent with a built-in CRM (the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Services. The Services are intended for business use. You are responsible for your account, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.
Plans and the Services
Azaris Sales is offered as an early-access, month-to-month subscription, currently available in the United States only. The current beta price is shown at checkout. Pricing may change during early access; changes apply after we give you notice, and you can cancel at any time. For design partners we may offer optional white-glove setup help; that is assistance getting set up on the same product, not a separate managed plan, and these Terms govern it. As an early-access product, we may add, change, or discontinue features over time.
Subscriptions, billing, and cancellation
- Fees. Subscriptions are charged at checkout and then billed in advance on a recurring monthly basis at the price shown at checkout, plus applicable taxes. Payments are processed by our payment processor (Stripe).
- Auto-renewal. Subscriptions automatically renew for successive periods until cancelled. By subscribing, you authorize us to charge your payment method for each renewal.
- Cancellation. You may cancel at any time, effective at the end of the current billing period. Cancellation stops future charges; it does not retroactively cancel a period already started.
- Refunds. Except where required by law, fees are non-refundable and there are no refunds or credits for partial periods or unused features.
- Price changes. We may change prices, including during early access; changes apply to renewals after we provide reasonable notice.
- Non-payment. If a charge fails or your account is past due, we may suspend or terminate access.
Acceptable use
You agree not to, and not to permit others to:
- Use the Services for any unlawful, harmful, or fraudulent purpose.
- Load leads you do not have a lawful basis to contact, including purchased or scraped cold lists used for spam.
- Approve or send messages that violate CAN-SPAM or other applicable law, including by failing to honor unsubscribe requests. The suppression list cannot be overridden.
- Include false or deceptive claims in your playbook or in messages you approve.
- Infringe intellectual property, privacy, or other rights.
- Attempt to disrupt, reverse engineer, or gain unauthorized access to the Services.
We may suspend or terminate accounts that generate spam or abuse complaints.
Your content and connected accounts
You own your CRM data — your contacts, conversations, and playbook (“Customer Content”). You grant us a limited license to host, process, and transmit Customer Content solely to provide the Services. We use the access scopes you grant on connected accounts (such as Gmail and Google Calendar) only as described in our Privacy Policy. You represent that you have the rights and consents necessary to provide Customer Content — including your prospects’ information — and to connect any third-party accounts. You can export your CRM data at any time.
AI-generated output
The Services use artificial intelligence to draft outbound messages, qualify leads, and summarize conversations. AI output may be inaccurate, incomplete, or unsuitable, and is provided without warranty. The Services are approval-first: drafts and CRM changes are presented for your review, and nothing is sent without your approval unless and until you opt into bounded autopilot for specific actions. You are responsible for the content you approve and for any decisions or actions taken based on the output. We do not guarantee meetings, revenue, or any other business outcome. Do not rely on the Services for professional, legal, medical, or financial advice.
AI provider accounts and credentials
The Services currently support connecting your own third-party AI provider credentials (for example, an API key), and we may also offer platform-provided models. If you connect your own credentials, you:
- Authorize us to store and use those credentials solely to operate your agent on your behalf, including sending requests to the provider and refreshing tokens as needed.
- Representthat the account and credentials are yours (or that you are authorized to connect them), and that connecting and using them through the Services does not violate the provider’s terms, policies, or usage limits.
- Acknowledgethat your use of the provider’s models is governed by that provider’s terms, and that any model usage may be billed to, or counted against, your provider account or subscription under their terms — not ours.
- Accept the risk that providers are outside our control and may suspend, revoke, rate-limit, change, price, or terminate access (including action against your provider account) at any time. We are not responsible or liable for any such action or for any resulting interruption, degradation, or loss of the Services.
If your provider access is revoked, throttled, or otherwise changes such that your agent cannot operate, that is not a breach of these Terms by us and does not entitle you to a refund or credit. You are responsible for maintaining valid provider access and for compliance with the provider’s terms.
Third-party services
The Services integrate with third-party platforms and providers. Your use of those services is governed by their terms, and we are not responsible for them.
Intellectual property
We and our licensors own the Services, including all related software, designs, and trademarks. Except for the rights expressly granted to you, no rights are transferred.
Disclaimers
Azaris Sales is an early-access product. Features may change or be discontinued, and availability is not guaranteed. If we materially discontinue the Services, we will make your CRM data available for export before doing so.
The Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
Limitation of liability
To the maximum extent permitted by law, Azaris will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim arising out of or relating to the Services will not exceed the amounts you paid to us for the Services in the 12 months before the event giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Azaris from any claims, damages, and expenses arising out of your use of the Services, your Customer Content, the messages you approve, or your violation of these Terms.
Termination
You may stop using the Services at any time, and you can export your CRM data before closing your account. We may suspend or terminate access if you violate these Terms, fail to pay, or to protect the Services. Upon termination, your right to use the Services ends; sections that by their nature should survive will survive.
Changes to these Terms
We may update these Terms from time to time. We will revise the “Last updated” date above and, where appropriate, provide additional notice. Continued use after changes take effect constitutes acceptance.
Governing law
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles.
